Affiliate Program Terms & Conditions

## 1. Agreement to Terms
By applying to become a Sparell affiliate, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you may not participate in the affiliate program.
## 2. Program Overview
The Sparell Affiliate Program allows approved partners to earn commissions by referring customers to Sparell.
## 3. Commission Structure
### 3.1 Tiered Rewards
- **Rising Partner (0-20 active referrals)**: 30% first payment, 10% recurring
- **Pro Partner (21-50 active referrals)**: 35% first payment, 15% recurring
- **Elite Partner (51+ active referrals)**: 40% first payment, 20% recurring
### 3.2 Commission Duration
- Recurring commissions are paid for 12 months from the customer's first payment
- Commissions apply only to paid plans (Essentials and Premium)
- Free Starter plans do not generate commissions
### 3.3 Payment Terms
- Commissions have a 30-day hold period to account for refunds and chargebacks
- Minimum payout threshold: $100 USD
- Payments are processed via PayPal only
- Payouts are typically processed monthly
## 4. Affiliate Responsibilities
### 4.1 Prohibited Marketing Practices
Affiliates may NOT:
- Engage in spam or unsolicited email marketing
- Make false or misleading claims about Sparell
- Use Sparell trademarks without permission
- Bid on Sparell brand keywords in paid search
- Create fake accounts or self-referrals
- Violate any applicable laws or regulations
- Use cookie stuffing or other fraudulent tracking methods
- Promote Sparell on websites containing illegal, adult, or hateful content
- Impersonate Sparell or present yourself as an official representative
- Offer unauthorized discounts or guarantees on our behalf
### 4.2 Brand Guidelines
- Use only approved promotional materials
- Follow brand guidelines when creating content
- Disclose affiliate relationship per Federal Trade Commission (FTC) guidelines
## 5. Self-Referral Policy
Affiliates may not refer themselves or entities they control. Self-referrals will result in commission rejection and potential account termination.
## 6. Attribution Window
Referrals are tracked via a 60-day cookie window. Last-click attribution applies if a customer clicks multiple affiliate links.
## 7. Data Privacy and Compliance
By participating in this program, you agree to comply with all applicable data privacy laws, including GDPR, CCPA, and other regional regulations. You must have proper consent before collecting or sharing personal data. You're responsible for your own privacy policy and data handling practices. Affiliate tracking requires user consent via cookie banner.
## 8. Account Suspension and Termination
Sparell reserves the right to:
- Suspend or terminate affiliate accounts for violations
- Reject commissions for fraudulent activity
- Modify commission structures with 30 days notice
- Change or terminate the program at any time
- Forfeit any unpaid commissions if your account is terminated for violations
Either party can end the affiliate relationship at any time, but earned commissions (past the 30-day hold) will still be paid out if the termination was not due to policy violations.
## 9. Geographic Restrictions
The program is limited to regions where PayPal operates. Affiliates must have a valid PayPal account to receive payments.
## 10. Commission Approval
- Commissions are subject to review and approval
- Sparell reserves the right to reject commissions for policy violations
- Refunded or charge backed payments will have commissions reversed
## 11. License to Use Materials
When you join our affiliate program, we give you permission to use our approved logos, banners, and promotional content solely for promoting Sparell. This permission ends immediately if your affiliate account is terminated. You don't get any ownership rights to our brand, and you can't modify our materials without written approval.
## 12. Intellectual Property
All Sparell trademarks, logos, and brand materials remain the exclusive property of Sparell. Any unauthorized use of our intellectual property outside the scope of this affiliate program is strictly prohibited.
## 13. Partner Relationship
You're an independent contractor, not an employee, or agent of Sparell. You have no authority to bind Sparell to any agreements or obligations. You're responsible for your own expenses, equipment, and business operations.
## 14. Tax Obligations
You're responsible for all taxes related to your affiliate commissions. We don't withhold taxes from your payments. Depending on your location and earnings, you may need to provide tax documentation (like a W-9 form for US affiliates). You may receive tax forms at year-end if required by law.
## 15. Confidential Information
As an affiliate, you may learn about our commission rates, promotional strategies, or other program details. You agree not to share this information publicly or with competing programs. This obligation continues even after you leave the program.
## 16. Liability and Disclaimers
We provide the affiliate program "as is" without any guarantees. We're not responsible for:
- Lost earnings due to technical issues or tracking problems
- Actions taken by your referrals after they sign up
- Tax obligations related to your commission earnings
You're responsible for any claims, damages, or losses that result from your violation of these terms.
## 17. Modifications to Terms
Sparell may update these terms at any time. We'll notify you of significant changes via email. If you continue promoting Sparell after changes take effect, you accept the new terms. If you disagree with changes, you can close your account, and we'll pay any earned commissions.
