Agreement to these terms
These Terms & Conditions (the "Terms") are a binding agreement between you and Sparell. By creating an account, accessing Sparell, or using any part of the Service, you agree to these Terms. If you are using Sparell on behalf of a company or organization, you confirm you have authority to accept these Terms on its behalf, and all references to "you" include that entity.
Definitions
Service means Sparell's web application, public viewers, and related online services. Content means files, data, and materials you upload or provide to the Service. Organization means a workspace owned by a personal user or a team. Other capitalized terms have the meanings given in these Terms.
License to use Sparell
Subject to these Terms and your plan, Sparell grants you a limited, non‑exclusive, non‑transferable, and revocable license to access and use the Service for your internal business or personal purposes. You may not sublicense or resell the Service. Sparell reserves all rights not expressly granted.
Who can use Sparell
You must be legally able to enter into a contract in your location to use Sparell. If the law where you live restricts certain uses, you must comply with those restrictions.
Accounts, organizations & roles
- Accounts: You need an account to use Sparell. Keep your login secure and tell us if you suspect unauthorized access.
- Organizations: Sparell supports personal accounts and team organizations. An organization's owner controls roles and permissions within that organization.
- Roles & permissions: Owners may grant admins permissions like managing billing or assets. Members only have the permissions their organization grants.
Account usage & restrictions
- Do not create multiple accounts to bypass plan limits, user restrictions, or fair‑use policies.
- Organizations needing multiple users or teams should choose an appropriate plan or contact us about enterprise options.
- We may suspend or terminate accounts that attempt to circumvent plan constraints or misuse the Service.
Your content & rights you grant
You retain ownership of the 3D models, images, text, and other materials you upload to Sparell ("Content"). You grant Sparell a limited, worldwide, non‑exclusive, royalty‑free license to host, store, process, transmit, display, and distribute your Content as needed to provide, maintain, protect, and improve the Service; to comply with law; and to communicate with you about the Service. This license ends when your Content is deleted from Sparell's systems, subject to routine backups, legal obligations, and technical limitations.
If you share public viewers or links, your Content may be accessible by anyone who has those links. Do not upload Content you do not have the right to use, or that violates law or others' rights.
Sparell intellectual property
The Service, including its software, designs, and branding, is owned by Sparell or our licensors and is protected by law. You may not copy, modify, reverse‑engineer, or create derivative works of the Service, nor remove any proprietary notices. Our trademarks and logos may only be used as permitted by our guidelines or with our prior written consent.
Acceptable use
- No unlawful, harmful, fraudulent, infringing, or offensive activity.
- No attempts to bypass security, abuse rate limits, interfere with availability, or probe the Service.
- No uploading malware or Content that violates others' intellectual property or privacy rights.
- No misrepresentation of identity or affiliation, and no reselling or sublicensing of the Service.
Plans, subscriptions & billing
- Subscriptions: Sparell offers paid plans on monthly or yearly terms. Subscriptions renew automatically until canceled.
- Payments: Payments are processed by a third‑party provider. You authorize recurring charges for your plan and any applicable add‑ons, taxes, and fees.
- Plan changes: Upgrades may apply immediately; downgrades generally take effect at your next billing cycle.
- Seats & overage: Certain plans support additional seats or usage above included amounts. Related fees may be charged during or after a billing cycle.
- Failed payments: If a payment fails, access may be limited until the issue is resolved.
- Refunds: Except where required by law, fees are non‑refundable once a billing period starts.
Cancellations & refunds
You can cancel at any time. During cancellation you can choose:
- Immediate cancellation: Your subscription stops right away and paid features end immediately. Your organization is downgraded to the Starter plan, and future renewals are turned off. Charges already incurred (including any seat or usage fees accrued prior to cancellation) remain payable.
- End‑of‑term cancellation: Auto‑renew is turned off and you keep paid features until the end of your current billing period. After that, your organization is downgraded to the Starter plan and no further renewals occur.
We generally do not provide refunds for partial billing periods once a period starts, except where required by applicable law.
Usage limits & fair use
Plans include limits such as assets, storage, links/QR, seats, and scans. If you exceed included limits, Sparell may charge overage fees, restrict features, or request you to upgrade. Limits and features for each plan are described in the product and billing pages.
Public links, QR & analytics
- Public viewers: When you publish or share links, your Content can be viewed by anyone with the link or QR code.
- QR codes & branding: Some plans support white‑label options for QR and viewer experiences.
- Analytics: The Service counts scans and related interactions to operate and improve features. We describe data practices in our Privacy Policy.
Communication preferences
By using the Service, you agree we may send you emails about your account, service updates, and changes to these Terms. Where permitted, we may also send product news and offers; you can unsubscribe from marketing emails at any time via the link in those emails. You will still receive essential service messages.
Third‑party services
Sparell uses reputable service providers to run key parts of the Service, such as authentication, storage, payments, analytics, and email delivery. Those providers have their own terms and privacy practices. Where required, we will identify the provider during product use.
Security, MFA & notices
- Sparell applies industry‑standard measures to help protect your account and Content.
- Organization owners and admins control team permissions. Where available, extra verification (multi‑factor) may be required for sensitive actions.
- We may send you important service notices (for example, billing or asset‑processing updates).
Suspension & termination
We may suspend or terminate access if you breach these Terms, fail to pay fees when due, or use the Service in a way that risks harm to others or to the Service. You can stop using Sparell at any time. Ending a subscription or closing an account does not relieve you of fees already owed.
Service changes & maintenance
We continually improve Sparell and may add, change, or remove features. We may also run scheduled tasks to keep the Service reliable. If a change is likely to have a material impact, we will provide reasonable notice when practical.
Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent allowed by law, Sparell disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.
Limitation of liability
To the fullest extent allowed by law, Sparell will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill. Sparell's total liability for all claims arising out of or relating to the Service will not exceed the amounts you paid for the Service in the three (3) months before the event giving rise to liability.
Indemnification
You agree to defend, indemnify, and hold harmless Sparell from and against any third‑party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your Content, your misuse of the Service, or your breach of these Terms.
Governing law & venue
These Terms are governed by the laws of Singapore, without regard to conflict‑of‑laws rules. The exclusive venue for disputes that are not subject to another mandatory process under applicable law will be the courts located in Singapore.
Dispute resolution
Before filing a claim, you agree to try to resolve the issue informally by emailing us and allowing a reasonable time to respond. If we cannot resolve the dispute informally, the parties will proceed in the courts identified above unless another process is required by applicable law. Nothing in this section prevents either party from seeking urgent injunctive relief.
Copyright complaints
If you believe Content on the Service infringes your copyright, please contact us with details of the work claimed to be infringed, the allegedly infringing material, and your contact information. We may remove or disable access to material alleged to be infringing and may terminate repeat infringers where appropriate.
Force majeure
Neither party will be liable for delays or failures to perform caused by events beyond their reasonable control, such as natural disasters, war, acts of government, telecommunications outages, or internet disturbances.
Severability
If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
Assignment
You may not assign or transfer these Terms or your rights under them without Sparell's prior written consent. Sparell may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
No waiver
A party's failure to enforce a provision is not a waiver of its right to do so later. Any waiver must be in writing and signed by the waiving party.
Entire agreement
These Terms, together with any plan details presented in the Service, constitute the entire agreement between you and Sparell regarding the Service and supersede prior or contemporaneous agreements on the subject.
Changes to these terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and adjust the "Last updated" date above. Continued use of Sparell after changes become effective means you accept the updated Terms.
